Purchase order terms and conditions
GENERAL :
No agreement or other understanding or document in any way modifying the terms and conditions is applicable to Hess Aerospace & Defense unless made in writing and signed by an authorized representative of Hess Aerospace & Defense.
All goods received by Hess Aerospace and Defense will be inspected and any rejected goods may be returned to the seller at the seller’s expense.
Deliveries must be made to agreed dates and should the delivery be delayed, the seller agrees to contact the purchasing agent of Hess Aerospace & Defense and advise the agent of the delay.
The seller agrees to protect and indemnify Hess Aerospace & Defense against all claims or liabilities pertaining to the goods ordered.
No substitutions can be shipped without approval in writing by an authorized representative of Hess Aerospace & Defense.
CERTIFICATES :
For each shipment, the seller agrees to provide Hess Aerospace & Defense with all documents pertaining to quality and traceability. Including the supplier name, purchase order number, part number, revision, quantity, test reports, special processes, date, authorized signature, title, and statement certifying that the goods or service is compliant to the requirements stated on the purchase order.
QUALITY :
The seller shall maintain an effective quality system to meet the requirements stated on the purchase order
NONCONFORMING MATERIAL :
The seller warrants all goods and services delivered under the purchase order to be free of defects, and conforming to the requirements stated on the purchase order. The seller agrees to replace, repair, or otherwise correct any nonconformity or problem with the material or service with the delivered item.
CONFIDENTIALITY :
The seller agrees to keep all documents supplied by Hess Aerospace & Defense pertaining to the purchase order strictly confidential, and will be returned to Hess Aerospace & Defense upon demand.
QUALITY & MATERIAL RECORD RETENTION AND PROCESS CONTROL :
The suppliers quality system shall ensure that all quality documents and records pertaining to product, and process control shall be retained for a period of no less than 10 years from the date of shipment. The documents shall be adequate to ascertain the quality level of the material or process. These documents shall be supplied upon request from Hess Aerospace & Defense.
CHANGES IN PRODUCT OR PROCESS :
The seller shall notify Hess Aerospace & Defense of any changes in process or products as they pertain to the purchase order.
COUNTERFEIT PARTS :
The seller agrees to prevent the use of counterfeit parts
ETHICAL BEHAVIOUR AND PRODUCT SAFETY :
The seller agrees that their personnel have been made aware of the importance of ethical behavior in the workplace and are aware of the importance of their contribution to product safety, service conformity, and adherence to the sellers quality system.
